Customer Transportation Terms & Conditions

BNG Integrated Business LLC DBA PNP Freight Solutions
Effective Date: August 25, 2026

These Customer Transportation Terms & Conditions ("Transportation Terms") govern transportation-related services requested from BNG Integrated Business LLC DBA PNP Freight Solutions ("PNP Freight Solutions," "PNP," "we," "us," or "our").

These Transportation Terms supplement the Terms of Use and Privacy Policy applicable to pnpfreightsolutions.com. In the event of a conflict concerning a specific transportation transaction, these Transportation Terms and the applicable written quote, estimate, service order, rate confirmation, or other transaction-specific agreement will govern that transportation transaction.

By requesting transportation services, approving a quote or estimate, making payment, electronically accepting an agreement, or otherwise authorizing PNP to proceed, the customer ("Customer," "Shipper," "you," or "your") acknowledges that Customer has read, understands, and agrees to these Transportation Terms.

1. Role of PNP Freight Solutions

PNP Freight Solutions is a transportation services coordinator. Depending on the particular shipment and service requested, transportation may be performed or arranged through independent, properly authorized motor carriers, transportation providers, or licensed broker partners.

Unless expressly identified in writing as the motor carrier for a particular shipment, PNP Freight Solutions does not physically transport cargo and does not represent that it is the motor carrier operating the vehicle transporting the shipment.

The motor carrier actually accepting and transporting a shipment is responsible for the physical transportation of the cargo in accordance with applicable law, its operating authority, the bill of lading, and its applicable terms.

Nothing in these Transportation Terms is intended to represent PNP Freight Solutions as holding transportation authority that it does not possess. Where a service requires regulated broker, motor-carrier, household-goods, or other transportation authority, the service will be provided through an appropriately authorized provider or partner as applicable.

2. Services Covered

These Transportation Terms may apply to services including, as applicable:

Freight transportation; full truckload (FTL); less-than-truckload (LTL); palletized freight; expedited and hot-shot transportation; flatbed transportation; refrigerated transportation; heavy-haul and oversized transportation; equipment transportation; construction-material transportation; food and beverage logistics; e-commerce and consumer-goods transportation; auto and vehicle transportation; auction pickup; white-glove transportation; storage-unit pickup or cleanout transportation; and other specialty transportation services accepted by PNP.

Certain services may require additional documentation, permits, insurance, carrier qualifications, inspections, disclosures, or service-specific terms.

PNP may decline any transportation request in its discretion where the shipment cannot reasonably, safely, legally, or economically be serviced.

3. Quotes and Estimates

Unless specifically stated otherwise in writing, transportation quotes are estimates based upon the information provided by Customer at the time of quotation.

Quotes may depend upon:

  • Origin and destination;
  • Shipment dimensions and weight;
  • Commodity or item description;
  • Vehicle information;
  • Required equipment;
  • Pickup and delivery dates;
  • Service level;
  • Loading and unloading requirements;
  • Access conditions;
  • Mileage and route;
  • Fuel and market conditions;
  • Carrier availability;
  • Permits;
  • Insurance requirements;
  • Declared value;
  • Special handling; and
  • Other shipment-specific requirements.

Customer is responsible for providing complete and accurate shipment information.

A quote may be revised if the information supplied by Customer is inaccurate, incomplete, or changes after quotation.

Unless expressly identified as guaranteed in writing, a quote does not guarantee carrier availability, pickup time, delivery time, equipment availability, or acceptance of the shipment by a transportation provider.

Quotes expire on the expiration date shown on the quote or, if no expiration date is shown, may be revised at any time before transportation is confirmed.

4. Customer Approval and Payment

Customer approval of a quote authorizes PNP to proceed with the transportation coordination process described in the applicable service documents.

Unless PNP agrees otherwise in writing, full payment of the Customer's quoted amount is required before PNP begins final carrier sourcing, carrier commitment, dispatch coordination, or transportation confirmation.

Payment of a quote does not by itself mean that a particular motor carrier has accepted the shipment.

Transportation is considered confirmed only after the required transportation provider has accepted the shipment and PNP has communicated confirmation to Customer.

Payment may be made through payment methods approved by PNP. Customer is responsible for applicable processing charges or other charges expressly disclosed before payment.

Customer may not withhold, reverse, dispute, or charge back legitimate transportation charges solely because of a delay, scheduling change, or other circumstance governed by these Transportation Terms.

Nothing in this section eliminates Customer's rights under applicable law to dispute an unauthorized or incorrect charge.

5. Carrier Sourcing and Transportation Confirmation

After required payment and shipment verification have been completed, PNP will use commercially reasonable efforts to coordinate the requested transportation through an appropriate transportation provider.

Carrier availability is affected by market conditions, route, equipment, timing, weather, shipment characteristics, and other factors outside PNP's control.

PNP does not guarantee that transportation capacity will be available at a particular price or time until the applicable transportation provider has accepted the shipment.

PNP will not knowingly substitute materially different transportation terms without Customer approval where the change results in an additional Customer charge.

6. If Transportation Cannot Be Secured

If Customer has paid PNP and PNP is unable to secure transportation substantially consistent with the material conditions of the accepted quote, PNP may:

  1. Offer Customer an alternative carrier, date, equipment type, service level, or price for Customer's approval; or
  2. Cancel the transportation request and refund the applicable amount paid by Customer for transportation that was not provided.

Customer is not required to accept a materially different transportation arrangement or additional charge.

If no carrier or transportation provider has been committed and Customer declines a materially different alternative offered by PNP, amounts paid for transportation not provided will be refunded, less only charges for separate services already performed or third-party expenses previously authorized by Customer, if applicable.

Refunds will be returned through the original payment method when reasonably possible.

7. Customer Cancellations

Cancellation charges depend upon the status of the transportation order when cancellation occurs.

Before a Carrier Is Committed

If Customer cancels before a carrier or other transportation provider has been committed to the shipment, PNP will refund amounts paid for transportation not provided, less any separately disclosed and agreed nonrefundable charges or third-party expenses already incurred on Customer's behalf.

After a Carrier Is Committed

Once a carrier or transportation provider has accepted the shipment, Customer may be responsible for reasonable cancellation, truck-ordered-not-used ("TONU"), dispatch, permit, repositioning, reservation, labor, or other nonrecoverable charges resulting from the cancellation.

After Dispatch or Arrival

If Customer cancels after a vehicle or crew has been dispatched, arrived at the pickup location, or begun performing services, additional carrier, labor, mileage, waiting-time, equipment, permit, or cancellation charges may apply.

PNP will not charge Customer for costs that were neither incurred nor otherwise legitimately owed under the applicable transportation arrangement.

8. Accessorial and Additional Charges

The quoted price assumes the shipment conditions provided by Customer are accurate.

Additional charges may arise for services or conditions including:

  • Detention or waiting time;
  • Layover;
  • Lumper services;
  • Driver assist;
  • Inside pickup or delivery;
  • Residential service;
  • Liftgate service;
  • Redelivery;
  • Reconsignment;
  • Storage;
  • Limited-access locations;
  • Additional stops;
  • Tolls;
  • Ferry charges;
  • Permits or escorts;
  • Oversize or overweight requirements;
  • Loading or unloading labor;
  • Additional crew members;
  • Stairs or elevator service;
  • Disassembly or assembly;
  • Packaging or crating;
  • Blanket wrapping or protective materials;
  • Vehicle inoperability;
  • Winching;
  • Incorrect dimensions or weight;
  • Additional mileage;
  • Changed pickup or delivery location; or
  • Other services not included in the original quote.

Where reasonably practicable, Customer will be informed of material additional charges before they are incurred.

Charges resulting from conditions discovered at pickup or delivery that could not reasonably have been determined beforehand may be added to the final transportation charges.

9. Customer's Responsibility for Shipment Information

Customer represents that all information provided regarding the shipment is accurate and complete.

Customer must disclose all information material to safe and lawful transportation, including:

  • Accurate weight;
  • Dimensions;
  • Quantity;
  • Commodity description;
  • Declared value when requested;
  • Hazardous-material status;
  • Temperature requirements;
  • Vehicle operability;
  • Oversized or overweight characteristics;
  • Special handling requirements;
  • Pickup and delivery restrictions; and
  • Any condition that may affect equipment, pricing, safety, legality, or carrier selection.

Customer is responsible for additional expenses resulting from materially inaccurate or incomplete information supplied by Customer.

10. Prohibited or Restricted Items

Customer may not tender unlawful or prohibited property for transportation.

Customer must obtain prior written approval before tendering hazardous materials, firearms or ammunition, explosives, controlled substances, currency, negotiable instruments, precious metals, jewelry, fine art, live animals, perishable products, extremely high-value property, or other specially regulated or unusually valuable cargo.

Hazardous materials must be properly classified, packaged, marked, labeled, documented, and disclosed in accordance with applicable law.

Failure to disclose hazardous, regulated, dangerous, or unusually valuable cargo may result in refusal, cancellation, additional charges, and Customer liability as permitted by law.

11. Packaging, Loading, and Securement

Unless specifically included in the purchased service, Customer is responsible for properly preparing, packaging, palletizing, protecting, and identifying cargo for transportation.

Cargo must be reasonably capable of withstanding ordinary transportation conditions.

The transporting carrier remains responsible for carrier duties imposed by applicable law regarding operation of its vehicle and cargo securement.

If PNP or a transportation provider reasonably determines that cargo cannot be transported safely in its existing condition, transportation may be delayed or refused until the condition is corrected.

12. Pickup and Delivery Access

Customer is responsible for ensuring reasonable and lawful access to pickup and delivery locations.

Customer must disclose known access restrictions, including:

  • Gated facilities;
  • Appointment requirements;
  • Loading-dock limitations;
  • Residential locations;
  • Narrow roads;
  • Low clearances;
  • Weight restrictions;
  • Construction;
  • Limited-access facilities;
  • Stairs;
  • Elevators; and
  • Locations unsuitable for commercial vehicles.

Customer is responsible for charges resulting from undisclosed access conditions or inaccurate location information.

13. Pickup and Delivery Times

Unless expressly guaranteed in writing, pickup and delivery dates and times are estimates.

Transportation may be affected by traffic, weather, road closures, mechanical issues, regulatory requirements, hours-of-service rules, inspections, facility delays, accidents, carrier scheduling, acts of government, emergencies, and other circumstances outside PNP's reasonable control.

Customer should not schedule contractors, flights, events, production deadlines, travel, or other time-sensitive obligations based solely upon an estimated pickup or delivery time.

14. Auto Transport

For vehicle transportation, Customer must provide accurate information regarding each vehicle, including year, make, model, modifications, dimensions when relevant, operability, and pickup/delivery conditions.

Customer must disclose whether a vehicle is inoperable or requires special loading equipment.

Unless otherwise authorized by the carrier, vehicles should contain minimal personal property.

Customer or Customer's representative should inspect the vehicle at pickup and delivery and review the carrier's Bill of Lading or vehicle condition report.

Existing damage should be documented at pickup. New damage allegedly occurring during transportation should be documented on the carrier's delivery documentation before the carrier leaves whenever reasonably possible.

Claims concerning physical loss or damage to a vehicle are subject to applicable law, carrier liability, carrier insurance, the Bill of Lading, and applicable carrier claim procedures.

15. Auction Pickup

Customer is responsible for providing accurate auction information, including release documentation, buyer or lot number, pickup location, pickup deadline, item description, dimensions, weight where available, loading requirements, and auction-house rules.

Customer is responsible for auction storage fees, late fees, release fees, loading charges, or other auction charges unless specifically included in PNP's written quote.

PNP is not responsible for an auction facility's refusal to release property because Customer has not completed the facility's requirements.

16. White-Glove and Specialty Services

White-glove or specialty transportation may include inside pickup, inside delivery, room-of-choice placement, additional personnel, protective wrapping, packaging, crating, assembly, disassembly, stairs, elevators, debris removal, or other services only when specifically included in the accepted quote.

Customer must disclose stairs, floor levels, elevator availability, unusual dimensions, fragile items, restricted access, special handling, and other circumstances affecting the service.

Additional services requested or required on site may result in additional charges.

17. Storage-Unit Cleanouts and Multi-Item Jobs

Storage-unit, estate, auction, cleanout, and similar projects require Customer to accurately describe the quantity and nature of the property involved.

Pricing may change if the actual volume, weight, required crew size, equipment, labor, disposal requirements, packaging requirements, or transportation requirements materially differ from the information supplied when quoted.

Unless specifically stated in writing, transportation services do not include junk removal, disposal, hazardous-material remediation, cleaning, or abandonment of unwanted property.

Services involving household goods are accepted only when they can be performed in compliance with applicable household-goods transportation requirements.

18. Household Goods

Interstate transportation of household goods is subject to specialized federal requirements.

PNP will not represent itself as an interstate household-goods motor carrier unless appropriately authorized to do so.

Where a requested service constitutes regulated interstate household-goods transportation, the transportation must be handled through appropriately registered and authorized household-goods transportation providers and is subject to any additional federally required documentation, disclosures, estimates, tariffs, and consumer-protection requirements.

19. Cargo Insurance and Declared Value

A Customer's declaration of shipment value does not automatically create cargo insurance coverage or increase a carrier's legal liability.

Carrier cargo insurance, declared-value coverage, valuation protection, and carrier liability are separate concepts.

Customer should request information regarding available coverage before transportation if the shipment requires protection beyond the carrier's applicable liability.

PNP does not represent that every loss will be covered by carrier insurance.

High-value cargo must be disclosed before transportation is booked.

20. Loss, Damage, and Cargo Claims

Customer should inspect the shipment promptly upon delivery.

Visible loss or damage should be noted on the delivery receipt, Proof of Delivery, Bill of Lading, vehicle condition report, or other applicable delivery documentation whenever reasonably possible.

Customer should retain photographs, packaging, receipts, invoices, repair estimates, and other evidence supporting a claim.

Claims involving physical loss or damage while cargo is in a motor carrier's custody are generally subject to applicable transportation law, the carrier's Bill of Lading, applicable tariffs or rules, and the carrier's claims process.

PNP may assist Customer in communicating claim information to the responsible transportation provider but does not guarantee payment or settlement of a claim.

Nothing in these Transportation Terms waives rights or remedies that cannot lawfully be waived.

21. Independent Transportation Providers

Transportation providers used in connection with a shipment are independent businesses and are not employees of PNP solely because they perform transportation associated with a PNP transaction.

Transportation providers control the operation of their vehicles, drivers, routes, equipment, and activities for which they are legally responsible.

Nothing in these Transportation Terms creates an employer-employee relationship between PNP and an independent carrier or its personnel.

22. Customer Indemnification

To the extent permitted by applicable law, Customer agrees to indemnify and hold PNP harmless from third-party claims, penalties, losses, or expenses resulting from Customer's:

  • Materially inaccurate shipment information;
  • Undisclosed hazardous or prohibited materials;
  • Lack of authority to ship the property;
  • Violation of applicable law;
  • Improper packaging performed by Customer;
  • Negligent acts or omissions; or
  • Breach of these Transportation Terms.

This provision does not require Customer to indemnify PNP for liability that applicable law prohibits PNP from transferring to Customer.

23. Limitation of Liability

To the maximum extent permitted by applicable law, PNP will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost business opportunities, loss of use, missed appointments, production interruption, or other consequential economic loss arising from transportation delays or service disruptions.

Nothing in these Transportation Terms excludes or limits liability that cannot legally be excluded or limited.

Liability for cargo loss or damage attributable to the transporting carrier will be determined under applicable law, the carrier's transportation documents, and applicable carrier liability provisions.

24. Force Majeure and Events Beyond Reasonable Control

PNP will not be responsible for failure or delay caused by events beyond its reasonable control, including severe weather, natural disasters, wildfire, flood, road closures, accidents, strikes, labor disruptions, civil disturbances, governmental actions, emergencies, carrier breakdowns, infrastructure failures, acts of war or terrorism, or similar extraordinary circumstances.

PNP will use commercially reasonable efforts to communicate material transportation disruptions known to PNP.

25. Payment Disputes and Chargebacks

Customer should contact PNP promptly regarding any billing dispute so that the matter can be investigated.

A payment dispute or chargeback does not automatically eliminate amounts legitimately owed for transportation or services actually performed.

PNP reserves all lawful rights to collect undisputed and legitimately owed amounts.

26. Communication Authorization

By providing a telephone number or email address in connection with a transportation request, Customer authorizes PNP to contact Customer regarding the requested quote, shipment, carrier coordination, pickup, delivery, payment, documentation, and related customer-service matters.

Marketing communications, where applicable, are subject to separate consent requirements and applicable law.

27. Electronic Transactions

Customer agrees that electronic approvals, electronic signatures, checkbox acceptances, email approvals, text-message approvals where legally sufficient, and electronic payment authorization may constitute Customer's acceptance of transportation documents and these Transportation Terms to the extent permitted by applicable law.

Electronic records may be retained as evidence of the transaction.

28. Document Priority

A particular shipment may also be governed by a quote, estimate, service order, carrier Bill of Lading, rate confirmation, invoice, carrier tariff, insurance document, or other shipment-specific document.

If terms conflict, applicable law controls first, followed by any controlling transportation document or specifically negotiated written agreement applicable to the shipment, and then these general Transportation Terms as appropriate.

29. Governing Law

Except where federal transportation law or another mandatory law applies, these Transportation Terms will be governed by the laws of the State of Colorado, without regard to its conflict-of-law principles.

Any provision determined to be invalid or unenforceable will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in effect.

30. No Waiver

Failure by PNP to enforce any provision of these Transportation Terms on one occasion does not waive PNP's right to enforce that provision or another provision later.

31. Changes to These Transportation Terms

PNP may update these Transportation Terms from time to time.

The version applicable to a transportation transaction will generally be the version in effect when Customer accepts the applicable transportation order, except where a change is required by law.

The effective date will be displayed at the top of this page.

32. Customer Acceptance

By approving a transportation quote or service order, submitting payment, or otherwise authorizing PNP Freight Solutions to proceed with transportation services, Customer acknowledges and agrees that:

Customer has reviewed and accepts the applicable quote and these Customer Transportation Terms & Conditions; Customer confirms that the shipment information provided is accurate; Customer understands that transportation may be performed through independent authorized transportation providers; and Customer authorizes PNP to proceed with the transportation coordination process subject to these Terms.
